Non-Disclosure Agreement (NDA) Clause
This Mutual Confidentiality Agreement (the “Agreement”) is entered into as of the registered date (the “Effective Date”) by and between SRI Capital (“Company”) and the registered individual (“Member”). The Agreement outlines the terms under which the parties may disclose and protect confidential information during their discussions regarding potential business relationships (the “Transaction”).
1. Definition of Confidential Information
Confidential Information includes any proprietary, non-public information disclosed by one party (“Disclosing Party”) to the other party (“Receiving Party”), whether marked as confidential, identified as such at the time of disclosure, or of a nature that a reasonable person would consider confidential.
2. Exceptions to Confidentiality
Confidential Information does not include information that:
- Becomes public through no fault of the Receiving Party.
- Was known to the Receiving Party before disclosure.
- Is disclosed by a third party without breach of confidentiality.
- Is independently developed by the Receiving Party without reference to the Disclosing Party’s information.
3. Restrictions on Use and Disclosure
The Receiving Party agrees to:
- Maintain the confidentiality of the Disclosing Party’s information.
- Use the information solely for the purposes of the Transaction.
- Limit access to the information to only those representatives who need it for the Transaction.
4. Return or Destruction of Information
Upon request or upon completion of the Transaction, all Confidential Information must be returned or destroyed. The Receiving Party must certify in writing that such destruction has occurred.
5. Remedies for Breach
The Disclosing Party is entitled to seek immediate injunctive relief in the event of an actual or threatened breach of this Agreement, in addition to other remedies available under the law.
6. Ownership of Information
All Confidential Information remains the sole property of the Disclosing Party. No licenses or rights are transferred except as expressly stated in this Agreement.
7. Term and Termination
This Agreement remains in effect for two years from the Effective Date or until terminated by either party with 30 days’ notice. Obligations regarding confidentiality survive for two years after termination.
8. Governing Law
This Agreement is governed by the laws of Mauritius, without regard to its conflict of law principles.
General Terms
1. Entire Agreement
These Terms and Conditions, including the Disclaimer and NDA Clause, represent the entire agreement between SRI Capital and its users.
2. Modifications
SRI Capital reserves the right to update or modify these Terms and Conditions at any time without prior notice. Continued use of the website constitutes acceptance of any changes.
3. Limitation of Liability
SRI Capital is not liable for any indirect, incidental, or consequential damages arising from the use of this website or reliance on its content.
